Default Automatic Transmission--- Nasty Grinding Noise in Park and Neutral

My '94 90-series with 115K seems to have developed a strange problem. While stopped this afternoon I shifted from reverse to drive and briefly heard a loud grinding noise. It drove fine... without noise until I placed it in Park. The loud grinding noise is there in Park or Neutral but not while in a driving gear. The car doesn't slip gears and it shifts thru it's gears fine. My tranny fluid is clean and the level is right where it should be.
Tonight while re-testing it I noticed that my headlights diddn't work (they would if I pulled on the bright adjustment lever, but wouldn't when on hi or low beam without the lever being held). Could these be related???

Anyone have any insights to these problems?

Is it possible that the starter is engaged? Bad ignition switch?

Nope. Not a starter grind. My car had been running for a while before the noise occured. Probably not the starter.

I can't figure out why the ignition would cause a grind... but since the headlights were affected too I had thought in that direction too.

I found an A4 post a couple of weeks ago describing the same problem (neutral and park loud grind and lack of headlights). The guy hasn't responded yet though.

No... wife in med school and twin toddlers. I have done an auto to 5-speed swap before (Saab 900T) but I have neither the interest or time anymore.

Why would these problems be linked? An electrical snafu that could affect both? Could a bad torque converter cause the grind?

Still searching...
