I have owned my 2003 Allroad 2.7T Automatic @ 110k for a few years now and I think it is finally starting to have transmission issues.

Here is what happens, maybe you all can help diagnose the problem.

The car shutters around 60-65 mph on the highway during acceleration. Once I hit anything above 65 mph the shutter stops even under acceleration. I almost feels like a out-of-balance wheel but its not.

Also, during cold mornings once I start to drive and get to 2nd-3rd gear and come up to a stop sign the transmission jerks as if it is trying to downshift back to 1st. Sometimes it happens so violently that it stalls the car out.

I am very familiar with the engine but not the transmission. Is this a sign of a failing Torque Converter or what?? If so how hard is it to swap out a TC? or drop the transmission?

The TC failure on my 2002 was far less dramatic. An occasional late or prolonged shift a few weeks prior to the code being thrown at 104K indicating the TC failure. I had http://www.erikssonindustries.com/ rebuild my TC last fall, it has performed as designed since. Local R&R plus rebuild was $1800
I have an acquaintance with a 2001 allroad that at 65K had symptoms similar to yours. The tranny was low on fluid. Following a fill it performed well for another year then out of the blue completely failed, cost her $6500 (dealer).
In other words not sure what you have, but I know it will be expensive.

Interesting... Anyone have a write up on dropping the tranny?

UPDATE:

I Vag'd the car and only pulled one code which was ABS Brakes: 01119 - Gear Recognition Signal - 35 -10 Intermittent.

Also, I check the fluid level and was able to add another quart without spillage. The car shifted better and the 60-70mph shudder was reduced. I wonder if I was just low on fluid. Anyone have a clue on the code with the ABS?
